By accessing or using ScanEdge AI ("the Service"), operated by ScanEdge AI ("we," "us," or "our"), located at scanedge.ai, you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

You must be at least 18 years of age to use this Service. By creating an account, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these terms. The Service is intended for use by individuals in jurisdictions where trading stocks and options is legal.

ScanEdge AI is an AI-powered options flow intelligence platform that scans institutional trading activity and delivers trade signal information via email, SMS, and a web dashboard. The Service includes market data, trade signal analysis, AI-powered chat assistance (EdgeIQ), trade journaling, and performance analytics.

THE SERVICE IS FOR INFORMATIONAL AND EDUCATIONAL PURPOSES ONLY. NOTHING ON THIS PLATFORM CONSTITUTES FINANCIAL ADVICE, INVESTMENT ADVICE, TRADING ADVICE, OR ANY OTHER SORT OF ADVICE. You should not treat any of the content on ScanEdge AI as such.

We do not recommend that any specific security, portfolio of securities, transaction, or investment strategy is suitable for any specific person. You are solely responsible for your own investment decisions. Any trades or investments you make are at your own risk.

ScanEdge AI is not a registered broker-dealer, investment adviser, or financial planner. We do not hold ourselves out as such. The signals, trade plans, and analysis provided by the Service are generated by automated systems and should not be relied upon as the sole basis for any investment decision.

Past performance of any signal, trade plan, or strategy discussed on this platform is not indicative of future results. No representation is being made that any account will or is likely to achieve profits or losses similar to those discussed on this platform.

To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate. You are responsible for safeguarding your password and for all activities that occur under your account.

You agree to notify us immediately of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to protect your account credentials.

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorized access to any part of the Service
• Interfere with or disrupt the Service or servers
• Scrape, crawl, or use automated means to access the Service without permission
• Redistribute, resell, or share your account access with others
• Use the Service to manipulate markets or engage in any form of market abuse
• Reverse engineer, decompile, or disassemble any part of the Service

All content, features, and functionality of the Service — including but not limited to text, graphics, logos, algorithms, trade signals, analysis, and software — are owned by ScanEdge AI and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our content without express written permission.

The Service incorporates data from third-party sources including but not limited to Unusual Whales, Yahoo Finance, CBOE, SEC EDGAR, stockanalysis.com, and Wikipedia. We do not guarantee the accuracy, completeness, or timeliness of any third-party data. Third-party data is subject to the respective providers' terms of service.

By using the Service, you consent to receive email and SMS communications related to trade signals, confirmations, and platform updates. You may opt out of SMS communications at any time by contacting us at support@scanedge.ai. Standard messaging rates may apply.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCANEDGE AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, TRADING LOSSES, DATA LOSS, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY SIGNALS OR ANALYSIS WILL BE ACCURATE OR PROFITABLE.

You agree to indemnify, defend, and hold harmless ScanEdge AI and its owners, directors, officers, employees, agents, affiliates, subsidiaries, parent companies, partners, licensors, service providers, contractors, successors, and assigns (collectively, the "Indemnified Parties") from and against any and all claims, demands, actions, suits, proceedings, damages, losses, liabilities, judgments, settlements, penalties, fines, costs, and expenses (including but not limited to reasonable attorneys' fees, court costs, and expert witness fees) arising out of or in any way connected with:

• Your use of or access to the Service
• Your violation of these Terms of Service
• Your violation of any applicable law, regulation, or third-party right
• Any trading or investment decisions you make, whether or not influenced by the Service
• Any financial losses, trading losses, or damages you or any third party incur as a result of your trading activities
• Any content or information you submit, post, or transmit through the Service
• Any claim by a third party that your use of the Service caused damage to that third party
• Any dispute between you and your broker, financial institution, or any other third party

This indemnification obligation shall survive the termination of your account and these Terms. You agree that the Indemnified Parties shall have the right to participate in the defense of any such claim at their own expense. You shall not settle any claim without the prior written consent of ScanEdge AI.

BY USING THIS SERVICE, YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT:

• All trading and investment decisions are made solely by you, at your own discretion and risk.
• ScanEdge AI does not execute trades on your behalf, manage your money, or have access to your brokerage account.
• Any losses you incur from trades — whether or not influenced by signals, analysis, or information from this Service — are entirely your responsibility.
• You waive any and all claims against ScanEdge AI, its owners, operators, employees, affiliates, and agents for any trading losses, financial damages, or opportunity costs arising from your use of the Service.
• This waiver applies regardless of whether the loss resulted from inaccurate data, delayed signals, system errors, or any other cause related to the Service.
• You will not initiate, join, or participate in any lawsuit, class action, arbitration, or legal proceeding against ScanEdge AI seeking damages for trading losses incurred while using the Service.

You acknowledge that you fully understand the risks involved in trading stocks and options, including but not limited to: total loss of invested capital, losses exceeding your initial investment (in the case of margin or certain options strategies), market volatility, liquidity risk, and the risk that automated signals may be inaccurate or delayed. You assume full responsibility for all such risks.

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator in the English language.

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in a class action lawsuit or class-wide arbitration against ScanEdge AI.

The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. Each party shall bear its own costs and attorneys' fees unless the arbitrator determines otherwise.

To the fullest extent permitted by applicable law, you hereby release, discharge, and hold harmless ScanEdge AI, its parent companies, subsidiaries, affiliates, officers, directors, employees, agents, licensors, and service providers from any and all claims, demands, damages, losses, costs, and expenses (including attorneys' fees) of every kind and nature, known and unknown, arising out of or in any way connected with:

• Your use of the Service or reliance on any information provided by the Service
• Any trading or investment decisions you make
• Any financial losses you incur
• Any interruption, error, or delay in the Service
• Any inaccuracy in data, signals, or analysis provided by the Service

If you are a California resident, you waive California Civil Code Section 1542, which states: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party."

We may terminate or suspend your account at any time, with or without cause, with or without notice. Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive.

We reserve the right to modify these Terms at any time. We will notify users of material changes by updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the modified Terms.

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

These Terms, together with the Privacy Policy, constitute the entire agreement between you and ScanEdge AI regarding the Service and supersede all prior agreements and understandings.

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. To the extent litigation is permitted under these Terms, any disputes shall be resolved in the courts of competent jurisdiction.
